Agreement to Terms

These Terms of Use (“Terms”) constitute a binding legal agreement between you and Favor, a members-only dating service operated by Pinuxi Digital Private Limited, a company incorporated under the laws of India (“Favor,” “we,” “our,” or “us”).

These Terms govern your access to and use of the Favor website, mobile application, and any affiliated services, features, or content (collectively, the “Platform”). By applying for membership, registering, accessing, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy, Cookie Policy, Member Agreement, Community Guidelines, Content Moderation Policy, Subscription Terms, Refund Policy, and any additional policies or guidelines we may publish from time to time (collectively, the “Agreement”).

If you do not agree with any provision of this Agreement, you must not access or use the Platform.

This Agreement applies exclusively to individuals who are residents or citizens of the European Union (EU), European Economic Area (EEA), Switzerland, or the United Kingdom. Users located outside these jurisdictions are subject to a different set of terms and policies, available on the relevant regional pages of our website.

Favor is a members-only, application-based dating platform that facilitates verified introductions and considered communication between accomplished adults seeking long-term, committed, and lawful relationships. Membership is granted by application: each application is reviewed by a member of our team, and identity is confirmed through layered verification before a profile becomes visible. We aim to provide a premium, secure, and curated environment for adults who are intentional about how they meet one another.

Favor does not facilitate, permit, or tolerate any form of illegal activity, including but not limited to escort services, prostitution, the exchange of money, gifts, or anything of value for sexual conduct, human trafficking, or any other conduct that violates applicable local, national, or international law. Favor is not a “sugar dating,” transactional, or compensated-companionship service, and any attempt to use it for such purposes is strictly prohibited. Any such use will result in immediate termination of access, reporting to the relevant authorities where appropriate, and, where warranted, legal action.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater;
• You have the legal capacity to enter into binding contracts;
• You will comply with all applicable laws and with the provisions of this Agreement.

Eligibility

Access to and use of the Platform is strictly limited to natural persons who satisfy all of the eligibility criteria set out below. By applying for membership or by accessing or using any part of the Platform, you represent, warrant, and covenant that you meet each of the following conditions.

2.1 Age and Legal Capacity

You affirm that you are at least eighteen (18) years of age, or the age of legal majority in your country of residence, whichever is greater, and that you possess full legal capacity and authority to enter into and be bound by a contract under applicable law. You further affirm that you are accessing the Platform in your personal capacity and not on behalf of any business, third party, or governmental entity.

Favor is strictly for adults. We do not knowingly permit use of the Platform by anyone who is underage or otherwise legally incapacitated. We verify date of birth at sign-up and require selfie verification before any profile becomes visible. If we become aware that you have misrepresented your age or legal eligibility, your access may be terminated immediately and without notice, and you may be subject to legal liability.

2.2 Legal Compliance and Geographic Restrictions

You represent and warrant that your access to and use of the Platform is not prohibited by law in the jurisdiction in which you reside or from which you access the Platform. It is your sole responsibility to ensure that your use is lawful and compliant with all applicable laws, statutes, regulations, and ordinances, including those governing online conduct, age of consent, and the formation of legally binding contracts. Access is prohibited in any territory or country where such access or use would be unlawful or where Favor is not authorized to operate.

2.3 Prohibited User Categories

Without limiting the foregoing, the following categories of individuals are strictly prohibited from accessing or using the Platform:

• Individuals who have been convicted of any felony offense, particularly those involving violence, sexual misconduct, harassment, or exploitation;
• Individuals who are registered sex offenders under the laws of any jurisdiction;
• Individuals who have previously been suspended or terminated from the Platform for violation of these Terms or our other policies;
• Individuals accessing the Platform on behalf of, or in the interest of, any third party without express written authorization from Favor;
• Individuals who intend to use the Platform for commercial solicitation, escort-related services, prostitution, human trafficking, or any other illegal or exploitative activity.

2.4 Verification and Enforcement

Membership is granted by application and confirmed through layered verification, which may include a selfie liveness check, a photo-match against your profile, and an optional LinkedIn-verified profession. Favor reserves the right, at its sole discretion and without obligation, to verify information you provide during the application process or while using the Platform, including by using third-party services to conduct identity verification, screening, or risk assessment where permitted by applicable law. You agree to cooperate with any such procedures and acknowledge that failure to do so may result in denial or termination of access.

We reserve the right to reject, suspend, restrict, or terminate access to the Platform, without notice or liability, in respect of any user who, in our reasonable judgment, fails to meet the eligibility criteria or engages in any activity that undermines the safety, legality, or integrity of the Platform. You also confirm that the information you provide is accurate, complete, and current, and that you will use the Platform solely for lawful and legitimate purposes consistent with its intended use.

IF YOU DO NOT AGREE TO THESE TERMS, OR TO ANY UPDATE TO THEM, YOU MUST DISCONTINUE YOUR USE OF THE PLATFORM IMMEDIATELY.

Account Registration and Security

3.1 Registration Obligations

To access the Platform, you must create a personal user account (“Account”) by completing the application and registration process and submitting truthful, accurate, and complete information. You agree to keep your registration data current and acknowledge that submitting false, misleading, or incomplete information is a material breach of this Agreement. You affirm that you act on your own behalf and not as an agent or representative of any third party. Each individual may hold only one (1) Account; creating or operating multiple Accounts is prohibited and may result in suspension or permanent termination. Favor may refuse or cancel any registration, or reclaim usernames, without prior notice, where it deems this necessary to protect these Terms, applicable law, or the integrity of the Platform.

3.2 Account Credentials and Security

You are solely responsible for maintaining the confidentiality and security of your Account credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to:

• Refrain from disclosing your credentials to any third party;
• Use a strong, unique password and take reasonable measures to prevent unauthorized access;
• Notify Favor promptly of any unauthorized access, suspected breach, or security compromise relating to your Account.

Favor shall not be liable for any loss or damage arising from your failure to safeguard your Account or from any unauthorized access resulting therefrom.

3.3 No Transferability

Your Account is personal to you and may not be assigned, transferred, sublicensed, or otherwise made available to any third party, whether for commercial gain or otherwise. Any attempt to transfer or share access to your Account is a breach of this Agreement and may result in immediate termination.

3.4 Monitoring and Enforcement

Favor may, but is not obliged to, monitor account creation, login activity, and user conduct to ensure compliance with these Terms. We may suspend, deactivate, or permanently terminate any Account that appears fraudulent or unauthorized, is associated with activity in breach of this Agreement, or compromises the safety, integrity, or lawful use of the Platform. In such cases we may delete or anonymize associated data, and you shall not be entitled to any refund or compensation except as required by applicable law.

Subscription Plans and Billing

4.1 Subscription-Based Access

Access to certain features of the Platform may require a paid subscription (“Subscription”). By subscribing, you agree to pay the applicable fees for the plan you select, inclusive of any taxes, as disclosed to you at the point of purchase. Subscription offerings, durations, and pricing are made available at Favor’s discretion and may be modified or discontinued at any time, provided that such changes do not affect Subscriptions already purchased except in accordance with the renewal and termination provisions below. Current plans and their features are described in our Subscription Terms.

4.2 App Store Billing, Automatic Renewal, and Recurring Charges

Subscriptions are sold through the applicable app store (for example, the Apple App Store) and are billed to the account you hold with that app store provider. Unless stated otherwise at the time of purchase, all Subscriptions renew automatically. By enrolling, you authorize the relevant app store provider to charge your account the applicable recurring fee at the stated interval (for example, monthly), without further consent, until the Subscription is cancelled. Your payment account will be charged for renewal within the window specified by the app store provider before the end of the current period. Your obligation to pay continues until cancellation takes effect under Section 4.4, and you accept responsibility for all recurring charges incurred prior to cancellation.

4.3 Payment Processing

Subscription transactions are processed and managed by the relevant app store provider and its payment systems, in accordance with that provider’s terms and privacy practices. By submitting payment information, you represent that you are authorized to use the chosen payment method and that the information you provide is true and complete. Favor does not itself store your full payment-card details. Favor disclaims liability for errors or breaches by third-party providers but will provide reasonable support for payment-related queries where permitted by law. Where a renewal payment fails, access to Subscription features may be suspended until valid payment is received.

4.4 Cancellation, Refunds, and Right of Withdrawal

You may cancel your Subscription at any time through the subscription settings of your app store account; cancellation must generally be completed before the end of the current billing period to avoid the next renewal. On cancellation, your access to premium features continues until the end of the current billing period. Because Subscriptions are purchased through the app store, refund requests are handled in accordance with that provider’s policies. Our own Refund Policy explains how we approach refunds and the limited circumstances in which they are available.

As a consumer in the EU, EEA, Switzerland, or the United Kingdom, you may have a statutory right to withdraw from a purchase within fourteen (14) days. Where you request access to digital content or a digital service immediately and acknowledge that you will lose this right of withdrawal once performance has begun, the right of withdrawal may no longer apply to the extent the service has been supplied. Your mandatory statutory consumer rights are not affected by these Terms. See also Section 12.

4.5 Fee Changes and Notices

Favor may modify Subscription fees or introduce new charges. For active plans, we will provide advance notice of any increase in accordance with applicable law and app store requirements. If you do not accept the revised fees, your remedy is to cancel before the change takes effect. Continued use following the change constitutes acceptance of the modified pricing.

User Conduct and Acceptable Use

5.1 General Conduct Obligations

As a condition of your access, you agree to use the Platform in a lawful, respectful, and appropriate manner, and not to engage in any conduct that, in Favor’s reasonable discretion, violates these Terms or undermines the integrity, security, reputation, or lawful use of the Platform by others. Your use must at all times comply with all applicable laws, with this Agreement and the policies incorporated by reference (including our Community Guidelines and Content Moderation Policy), and with any additional instructions issued through the Platform.

5.2 Prohibited Uses

You agree not to engage in any of the following:

• Illegal or unauthorized use — using the Platform to promote, solicit, facilitate, or take part in any illegal activity, including prostitution, escorting, human trafficking, or the exchange of money, gifts, or services for sexual conduct;
• Harassment and abuse — abusive, threatening, harassing, defamatory, discriminatory, or otherwise offensive behavior toward other members, staff, or third parties;
• Fraud and misrepresentation — creating false identities, impersonating others, or misrepresenting your identity, background, or intentions;
• Commercial exploitation — using the Platform for commercial solicitation, advertising, recruitment, affiliate marketing, or any unauthorized promotional activity;
• Data harvesting — collecting, scraping, mining, or extracting data or personal information from the Platform or other members without authorization;
• Circumvention and unauthorized access — accessing other accounts without permission, bypassing security mechanisms, or interfering with the normal functioning of the Platform;
• Malicious activity — introducing viruses, malware, or other harmful code, disrupting servers or networks, or placing an unreasonable load on our infrastructure.

5.3 User Content and Interactions

You are solely responsible for any content, messages, images, or other materials (“User Content”) you upload, post, transmit, or make available through the Platform. You represent and warrant that such content does not violate any applicable law, infringe any third-party rights, or otherwise breach this Agreement. Every photo shared anywhere on Favor is automatically reviewed before it reaches anyone. Favor does not actively monitor all User Content or interactions, but reserves the right, at its discretion, to review, edit, remove, or block any content or conduct it deems to be in violation of these Terms or detrimental to the Platform.

5.4 Enforcement and Remedies

Violation of this section may result, without limitation, in immediate suspension or termination of your Account without notice, removal of prohibited content, referral to law enforcement or regulatory authorities, and civil or criminal liability where applicable. Reports involving suspected minors, threats of violence, or non-consensual intimate imagery are treated as our highest priority and are reviewed within four (4) hours of submission; other reports are reviewed within forty-eight (48) hours.

User Content and License Grant

6.1 Ownership of User Content

You retain all rights, title, and interest in and to the photographs, profile information, messages, text, images, video, and other materials (“User Content”) you submit through the Platform, subject to the limited license below. Favor does not claim ownership of your User Content.

6.2 License Grant to Favor

By submitting User Content, you grant Favor a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable license to use, reproduce, store, host, display, modify, adapt, publish, translate, distribute, and create derivative works from that content, in any medium now known or later developed, solely for the purpose of:

• Operating and maintaining the Platform;
• Marketing, promoting, or improving the member experience (excluding private messages);
• Enforcing these Terms and any applicable policies;
• Complying with applicable law, legal process, or regulatory obligations.

This license lasts for as long as your content remains on the Platform and survives termination of your Account only to the extent your content has been shared with or copied by other members, retained for legitimate business purposes, or archived to comply with legal obligations.

6.3 Representations and Warranties

You represent and warrant that you own, or have obtained all necessary rights and consents to, the User Content you post; that it does not infringe or misappropriate any third-party right, including intellectual property or privacy rights; and that it complies with applicable law and contains no unlawful, offensive, defamatory, or obscene material. Favor assumes no responsibility for the accuracy, legality, or appropriateness of any User Content.

6.4 Monitoring and Removal

While Favor is not obliged to pre-screen User Content, it may remove, block, or restrict any content it deems to violate these Terms or applicable law, or that is otherwise harmful or inappropriate. Favor may also suspend or terminate the accounts of members who repeatedly or egregiously violate our content standards.

Intellectual Property Rights

7.1 Ownership of Platform Content

Except for User Content, all elements of the Platform — including text, graphics, logos, icons, images, audio, video, editorial content, software, code, databases, interfaces, and their selection, arrangement, and design (collectively, “Platform Content”) — are the proprietary property of Favor or its licensors and are protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws. Favor and its affiliates and licensors retain all right, title, and interest in the Platform Content.

7.2 License to Use the Platform

Subject to your continued compliance with these Terms, Favor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use only. Except as expressly permitted, you may not, and may not allow any third party to:

• Copy, reproduce, modify, create derivative works from, distribute, display, publish, license, sell, or otherwise exploit any Platform Content without prior written authorization from Favor;
• Reverse engineer, decompile, disassemble, or attempt to extract source code from any part of the Platform or its software;
• Use any automated system or software to extract data from, scrape, or index any part of the Platform;
• Remove, obscure, or alter any proprietary notices or legal markings displayed on the Platform.

Any unauthorized use is a breach of this Agreement and may result in suspension or termination of your access and in civil or criminal liability.

7.3 Trademarks

All trademarks, service marks, trade names, logos, and trade dress used or displayed on the Platform, including the name Favor, are proprietary to Favor or its affiliates and may not be used, copied, or imitated without Favor’s express prior written permission. You may not use any metatags or other hidden text incorporating Favor’s name or trademarks without prior written consent.

Termination and Suspension

8.1 Termination by Favor

Favor may restrict, suspend, deactivate, or permanently terminate your access to the Platform, your Account, or any part of it, at any time, including for:

• Violation or suspected violation of these Terms or any incorporated policy;
• Conduct that may expose Favor or its members to legal liability, reputational harm, or regulatory scrutiny;
• Suspected fraud, misuse, or unauthorized use of the Platform;
• Requests by law enforcement or regulatory authorities;
• Extended inactivity or abandonment of your Account.

Such action may be taken with or without prior notice, and Favor shall not be liable to you or any third party for any such suspension or termination. Members who are permanently terminated may be prevented from creating new accounts through a cross-account ban system.

8.2 Termination by You

You may terminate your Account at any time through your account settings or by submitting a written request to our support team, subject to identity verification. Termination takes effect once the process is complete, after which your access to the Platform and its features ends. Termination does not entitle you to a refund of any fees paid, unless required by applicable law or stated in our Refund Policy. Outstanding obligations survive termination to the extent necessary to enforce them.

8.3 Effect of Termination

On termination of your Account for any reason: your license to access and use the Platform ceases immediately; your User Content may, at Favor’s discretion, be retained, removed, or anonymized; Favor may (but need not) delete data associated with your Account; and you remain responsible for any obligations or fees accrued prior to termination, including any Subscription that remains active until the end of its billing period. Favor disclaims any obligation to provide data-export services except as required by applicable data-protection law.

8.4 Survival

Provisions that by their nature should survive termination will survive, including those relating to ownership, intellectual property, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Limitation of Liability

9.1 No Warranty of Availability or Accuracy

The Platform, including all content, features, and services, is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, Favor disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and the accuracy, completeness, or reliability of any content. Favor makes no warranty that the Platform will operate uninterrupted, timely, secure, or error-free; that it is free from viruses or harmful components; or as to the outcomes of your use, including personal relationships, compatibility, or the behavior of other members.

9.2 User Assumption of Risk

Your use of the Platform, including your communication and interaction with other members, is undertaken at your own risk. While Favor verifies identity at sign-up and reviews applications, it does not endorse or guarantee the conduct, intentions, authenticity, or background of any member. You are responsible for exercising appropriate caution and judgment when interacting with others, both online and offline. Favor disclaims responsibility for actions taken by members within or outside the Platform.

9.3 Limitation of Liability

To the fullest extent permitted by law, Favor and its affiliates, licensors, directors, officers, employees, agents, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or goodwill; personal injury or emotional distress; unauthorized access to your data; the statements or conduct of any third party; or any matter beyond Favor’s reasonable control. This limitation applies regardless of the legal theory and even if Favor has been advised of the possibility of such damages.

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. In those jurisdictions, Favor’s liability is limited to the maximum extent permitted by law, and nothing in this section limits any liability that cannot lawfully be excluded or limited. See Section 12 for additional provisions applicable to EU, EEA, Swiss, and UK consumers.

Indemnification

10.1 General Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Favor, its parent, subsidiaries, affiliates, licensors, service providers, and their respective officers, directors, shareholders, employees, agents, contractors, and assigns (the “Indemnified Parties”) from and against any claims, demands, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of, or access to, the Platform;
• Your breach or alleged breach of these Terms or any applicable law;
• Any content you submit, including User Content;
• Your interaction with other members, whether online or offline;
• Any misrepresentation you make to Favor or other members;
• Your violation of any third-party right, including intellectual-property, publicity, or privacy rights.

10.2 Defense and Control

Favor may, at its discretion and expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully in asserting available defenses.

10.3 Continuing Obligation

Your indemnification obligations survive the termination or expiration of this Agreement and your use of the Platform, and apply to claims arising both during and after your use.

Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy and the other policies expressly incorporated by reference, constitute the entire agreement between you and Favor regarding your use of the Platform and supersede all prior communications, representations, or agreements, whether oral or written.

11.2 No Waiver

Favor’s failure to exercise or enforce any right or provision is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Favor.

11.3 Severability

If any provision is found invalid, unlawful, or unenforceable, it shall be severed from the remainder of the Terms, which shall remain in full force and effect.

11.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Favor’s prior written consent; any purported assignment in violation of this clause is void. Favor may assign or transfer its rights and obligations, subject to Section 12.3 for EU, EEA, Swiss, and UK consumers.

11.5 Force Majeure

Favor shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, governmental action, war, terrorism, civil unrest, labor disputes, pandemics, or interruptions in internet or utility services.

11.6 Relationship of the Parties

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Favor, and you have no authority to bind Favor.

11.7 Language and Interpretation

These Terms are written in English. Headings are for reference only and do not affect interpretation.

Special European Terms

This section applies to you as a consumer in the European Union, European Economic Area, Switzerland, or the United Kingdom, and prevails over any conflicting provision elsewhere in this Agreement.

12.1 Liability Limitations

Favor does not exclude or limit any liability for gross negligence or willful misconduct, or for death or personal injury caused by its negligence. As a European or United Kingdom consumer, where Favor causes you damage, our liability is limited to foreseeable damage arising from a breach of material contractual obligations typical for this type of agreement. Favor is not liable for damage resulting from a non-material breach of any other duty of care. This limitation does not apply to any statutory liability that cannot be limited, to liability for death or personal injury caused by our negligence, or to exclude responsibility for anything we have specifically promised to you.

12.2 Statutory Consumer Rights and Data Protection

Nothing in these Terms affects your mandatory statutory rights as a consumer, which apply in addition to these Terms and prevail to the extent of any conflict. This includes any statutory right of withdrawal or cooling-off period applicable to your purchase, subject to the digital-services exception described in Section 4.4. Favor processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and, where applicable, the UK GDPR and Swiss data-protection law, as described in our Privacy Policy. As a data subject, you may have the right to access, rectify, erase, restrict, or object to the processing of your personal data, the right to data portability, the right to withdraw consent, and the right to lodge a complaint with your local supervisory authority. 12.3 Assignment of Agreement

As a European or United Kingdom consumer, Favor may assign this Agreement, and any rights and licenses granted under it, to a third party. In the event of such an assignment, you are entitled to terminate the Agreement immediately by deactivating your Account. Favor will give you reasonable notice of any such assignment, for example by email or in-app notification.

Notice

Favor may provide you with notices, including notices of changes to this Agreement, by any reasonable means, including email, regular mail, or in-app notification. Such notices may not be received if you access the Platform in an unauthorized manner in breach of this Agreement. You agree that you are deemed to have received any notice that would have been delivered had you accessed the Platform in an authorized manner.

Date and Amendment

This Agreement may be changed by Favor at any time. If you are a non-subscribing member at the time of any change, the revised Terms take effect when posted on the Platform, and your continued use constitutes acceptance. If you are a subscribing member, and to the extent permitted by applicable law, the then-existing Terms continue to govern your membership until your renewal (whether by you or automatically); continuing your membership after renewal constitutes acceptance of the revised Terms. If you terminate your Subscription, your use of the Platform after termination constitutes acceptance of the then-existing Terms.
